1. Overview

These Terms & Conditions ("Terms") govern your access to and use of PDFHQ.IO ("PDFHQ.IO", "we", "us" or "our"), including our websites, APIs, applications and related services for organising, converting, signing and otherwise processing documents (collectively, the "Services"). By creating an account, using the Services, or continuing to use them after we publish changes, you agree to be bound by these Terms and all referenced policies.

2. Eligibility & Accounts

  • You must be at least 16 years old (or the age of digital consent in your country) to use the Services.
  • You are responsible for the accuracy of registration details and for safeguarding your login credentials.
  • If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to the organisation.
  • We may suspend or terminate accounts that violate these Terms or applicable law.

3. Plans, Billing & Refunds

  • Some features require a paid subscription (e.g., Premium or Teams). Prices and features are shown at checkout and may change from time to time.
  • Subscriptions renew automatically at the end of each billing cycle unless cancelled. You can cancel at any time from your account settings; access continues until the end of the current paid period.
  • We may offer trials or promotional pricing subject to specific terms. Trial-to-paid conversions will be charged unless cancelled before the trial ends.
  • Unless required by law, fees are non‑refundable once a billing period has started. Local consumer rights (including cooling‑off periods) may apply and are not affected.
  • Taxes and currency conversions may apply depending on your location. You authorise us (and our payment processors) to charge your selected payment method for the amounts due.

4. Fair Use & Usage Limits

To keep the Services reliable for everyone, we apply reasonable usage limits (e.g., file sizes, number of files per operation, rate limits, storage duration for temporary files, AI credits and seat limits for organisations). We may throttle, queue or block activity that exceeds fair use or impacts service stability.

Details of current limits are shown in the app or documentation and may change to reflect technical and business needs. We will try to give notice of material changes where practical.

5. Your Files & Content Processing

  • You retain all rights to files you upload or process ("User Content"). We do not claim ownership of your documents.
  • By using features that manipulate, convert, analyse or sign documents, you grant us a limited licence to process User Content solely to provide the Services and to improve them in de‑identified or aggregated form.
  • We store files only as long as needed to deliver the Service or as you instruct (e.g., saved projects), after which they are deleted or anonymised, subject to legal obligations.
  • You are responsible for ensuring you have the necessary rights and lawful basis to upload, process and share User Content.

6. E‑Signing & Electronic Records

  • Our e‑sign functionality provides tools to prepare, send and collect electronic signatures. Availability and legal effect vary by jurisdiction and document type.
  • You are responsible for verifying whether an e‑signed document meets your regulatory or industry requirements.
  • We provide audit trails and timestamps for convenience, but we do not act as a legal advisor or a party to your contracts.

7. Privacy & Data Protection

Our Privacy Policy explains how we collect and handle personal data, including when we act as a controller or processor. By using the Services, you consent to our data practices as described there.

8. Security

  • We use industry‑standard safeguards to protect the Services. However, no system is perfectly secure and we cannot guarantee absolute security.
  • Report suspected vulnerabilities to us promptly. Do not exploit or publicly disclose issues without permission.

9. Acceptable Use

You agree not to misuse the Services. For example, you will not:

  1. Upload unlawful, infringing, harmful or offensive content, or content you lack rights to process.
  2. Attempt to reverse engineer, bypass security, probe systems, or access non‑public areas.
  3. Interfere with or degrade the Service, including via automation that exceeds published limits.
  4. Use the Services to create, train, or improve competing models or services without our written consent.
  5. Misrepresent your identity or relationship with PDFHQ.IO.

10. Intellectual Property

  • The Services, including software, interfaces, models, designs and content we provide, are owned by PDFHQ.IO or our licensors and are protected by law.
  • We grant you a limited, non‑exclusive, non‑transferable licence to use the Services as permitted by these Terms. All other rights are reserved.

11. Third‑Party Services

Some features rely on third‑party providers (e.g., cloud storage, identity, payments). Your use of those services may be subject to their terms. We are not responsible for third‑party services we do not control.

12. Beta & Experimental Features

We may invite you to try features labelled as alpha, beta, preview or similar. These are provided “as is,” may be less reliable than generally available features, and may change or be discontinued at any time.

13. Disclaimers

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied or statutory (including warranties of merchantability, fitness for a particular purpose and non‑infringement). We do not warrant that the Services will be uninterrupted, error‑free, or that content will be preserved without loss.

14. Limitation of Liability

To the extent permitted by law, PDFHQ.IO and its affiliates, suppliers and partners will not be liable for: (a) indirect, incidental, special, consequential or punitive damages; or (b) loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the greater of £50 or the amount you paid to us for the Services in the 3 months preceding the claim.

15. Indemnification

You agree to defend, indemnify and hold harmless PDFHQ.IO and our officers, directors, employees and agents from any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or related to your use of the Services or violation of these Terms or applicable law.

16. Suspension & Termination

  • You may stop using the Services at any time. Cancelling a paid plan takes effect at the end of the current billing period.
  • We may suspend or terminate access if you breach these Terms, risk harm to the Service or others, fail to pay fees, or as required by law.
  • Upon termination, your licence ends and certain sections that by nature should survive (e.g., intellectual property, disclaimers, limitations, indemnity, governing law) will survive.

17. Governing Law & Disputes

These Terms and any dispute or claim (including non‑contractual disputes or claims) are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except that you and we may seek injunctive relief in any jurisdiction to protect intellectual property or confidential information.

18. Changes to the Services or Terms

We may modify the Services and these Terms to reflect changes in technology, law or business. If we make material changes, we will provide reasonable notice (e.g., in‑app or by email). Changes become effective when posted unless otherwise stated. Your continued use constitutes acceptance of the updated Terms.
